By agreeing to these terms, client acknowledges that until sale the is closed, the website and any of it's assets (Visual Assets created by XAV Design. i.e. Code, Design, etc.) is property of XAV Design. Any distribution, duplication, modification, or any other unauthorized use is strictly forbidded.

Client gains ownership of website source code when the sale is closed if the website is purchased outright. Websites licensed under XAV Design Website Management service remain the property of XAV Design unless later purchased.

Websites using XAV Design's Hosting or Maintenance services or licensed under XAV Design Website Management services understands that XAV Design reserves the right to terminate licensing contracts if events occur that results in the client's brand being damaging of XAV Design's reputation. Eamples of this include but are not limited to: Illegal activity, Hate speech, Discriminatory practices, Abandon/dorment businesses, and any other activity that may be seen as damaging to XAV Design's reputation.

In the event the website is purchased outright (is using XAV Design Hosting or Maintenance services) upon termination, client maintains ownership of the website and it's contents, however, services will be terminated immediately. The client is responsible for any costs associated with the termination of services listed in the service agreement.

In the event the website is not purchased outright (is using XAV Design Website Management services or is pending final sale) upon termination, the client will not be granted ownership of the website and it's contents. The client is responsible for any costs associated with the termination of services listed in the service agreement.

In the event that a project must be cancelled by the client after the inital down payment, the inital payment in non-refundable. The client may be responsible for any costs associated with the termination of services listed in the service agreement.

In the event that a project must be cancelled by XAV Design after the inital down payment (if applicable), the inital payment will be refunded to the client (if applicable). The client will not be held responsible for any costs associated with the termination of services listed in the service agreement.
